1. Acceptance of Terms

1.1 Agreement to Terms

By accessing or using the Calintent web application, Progressive Web Application (PWA), Chrome browser extension, or any related services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms and conditions that may apply to specific features of the Service.

1.2 Binding Agreement

By clicking "Continue with Google," creating an account, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1.3 Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use this Service. By using the Service, you represent and warrant that you meet this eligibility requirement.

1.4 Authority to Bind

If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of that organization.

2. Description of Service

2.1 Overview

Calintent is a time management and calendar productivity platform designed to help users gain insights into how they spend their time and automate calendar event management. The Service is provided through a web application, a Progressive Web Application (PWA), and a Chrome browser extension.

2.2 Core Features

The Service provides the following functionality:

2.2.1 Calendar Integration and Synchronization

  • Connection to Google Calendar accounts via OAuth authentication
  • Real-time synchronization of calendar events from connected calendars
  • Webhook-based notifications to keep local event data current
  • Storage and processing of calendar event metadata including titles, attendees, locations, and timing

2.2.2 Automation Rules Engine

  • Creation of user-defined rules to automatically categorize and color-code calendar events
  • Rule conditions based on event properties such as title, attendees, attendee domains, attendee count, and location
  • Automatic application of rules to new and modified calendar events
  • Modification of event colors in the user's Google Calendar

2.2.3 Analytics and Insights

  • Time allocation analysis and reporting
  • Breakdown of time spent by "life domains" (user-defined categories)
  • Priority-based and daily time tracking metrics
  • "Intentional Living" scoring and percentage calculations
  • Processing of recurring events and multi-day event analytics

2.2.4 Chrome Browser Extension

  • Side panel interface for quick access to features
  • Integration with Google Calendar web interface
  • Cross-platform authentication bridging

2.2.5 Progressive Web Application

  • Offline-capable functionality
  • Installable application experience
  • Theme synchronization with operating system preferences

2.3 Service Limitations

The Service is designed for personal productivity enhancement and calendar management. It is not intended for:

  • Enterprise-wide calendar administration
  • Healthcare scheduling requiring HIPAA compliance
  • Financial transaction processing
  • Emergency or time-critical communications

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by authenticating through Google OAuth. By creating an account, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

3.2 Account Security Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your Google account credentials
  • Ensuring authorized access to devices where you are logged into the Service
  • Logging out of the Service on shared or public devices
  • Monitoring your account for unauthorized activity

3.3 Account Restrictions

You may not:

  • Create multiple accounts for the same individual
  • Share your account credentials with others
  • Transfer your account to another person without our prior written consent
  • Use another person's account without their permission

4. Google OAuth and Third-Party Authentication

4.1 Google Account Integration

The Service uses Google OAuth 2.0 for authentication and calendar access. By using the Service, you:

  • Authorize us to access your Google account information as permitted by the scopes you approve
  • Acknowledge that your use of Google services is subject to Google's Terms of Service and Privacy Policy
  • Understand that we store OAuth tokens securely to maintain your calendar connection

4.2 Permission Scopes

When connecting your Google account, the Service requests permission to:

  • View and edit events on calendars you select
  • Receive notifications about calendar changes
  • Access your basic profile information (name, email) for account creation

4.3 Token Management

  • OAuth access tokens are stored securely and encrypted
  • Tokens are refreshed automatically to maintain service continuity
  • You may revoke access at any time through your Google Account security settings or through our Service settings
  • When you disconnect a calendar, we automatically revoke the associated Google OAuth tokens, terminating our access to that calendar
  • When you delete your account, we revoke all Google OAuth tokens associated with your connected calendars before deleting your data

4.4 Third-Party Terms

Your use of Google services through our platform is subject to Google's terms. We are not responsible for Google's services, their availability, or any changes Google may make to their APIs or services.

5. User Data and Calendar Integration

5.1 Data We Process

To provide the Service, we process the following calendar data:

  • Event titles, descriptions, and locations
  • Event start and end times (including recurring event patterns)
  • Attendee information (names, email addresses, domains)
  • Event colors and categories
  • Calendar identifiers

5.2 How We Use Calendar Data

Your calendar data is used to:

  • Synchronize events between Google Calendar and our Service
  • Evaluate and apply automation rules you create
  • Generate analytics and time allocation insights
  • Display events and insights in the Service interface

5.3 Data Modification

The Service may modify your Google Calendar events in the following ways:

  • Event Colors: Automation rules may change event colors in your Google Calendar
  • No Other Modifications: The Service does not create, delete, or modify event content (titles, times, attendees, etc.)

5.4 Data Retention

  • Calendar events are synchronized and stored to enable Service functionality
  • Event data is retained while your account is active and calendars are connected
  • Upon calendar disconnection: Synchronized event data for that calendar is removed and Google OAuth tokens are revoked
  • Upon account deletion: All your data is permanently deleted from our systems, including user profile, calendar events, automation rules, analytics data, and settings; all Google OAuth tokens are revoked

6. Acceptable Use Policy

6.1 Permitted Uses

You may use the Service for:

  • Personal time management and productivity tracking
  • Organizing and categorizing your calendar events
  • Gaining insights into how you allocate your time
  • Automating event categorization through rules

6.2 Prohibited Conduct

You agree NOT to:

6.2.1 Technical Restrictions

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Scrape, crawl, or use automated tools to extract data from the Service
  • Circumvent, disable, or interfere with security features of the Service
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or computer systems or networks connected to the Service
  • Use any robot, spider, scraper, or other automated means to access the Service
  • Introduce viruses, worms, Trojan horses, or other malicious code
  • Probe, scan, or test the vulnerability of the Service or any network connected to the Service
  • Interfere with or disrupt the Service or servers or networks connected to the Service

6.2.2 Content Restrictions

  • Use the Service to store, transmit, or process illegal content
  • Use the Service to infringe any third party's intellectual property rights
  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Impersonate any person or entity or misrepresent your affiliation

6.2.3 Commercial Restrictions

  • Resell, sublicense, or redistribute access to the Service without authorization
  • Use the Service to develop a competing product or service
  • Use the Service for excessive or abusive purposes that strain our infrastructure

6.3 API and Integration Limits

  • You agree to comply with any rate limits or usage quotas we implement
  • Excessive API calls or integration abuse may result in throttling or suspension
  • The Chrome extension must be used in accordance with Chrome Web Store policies

7. Intellectual Property Rights

7.1 Our Intellectual Property

Calintent retains all rights, title, and interest in and to:

  • The Calintent name, logo, and brand elements
  • The Service's user interface, design, and visual elements
  • All software, code, and technology underlying the Service
  • Documentation, graphics, and other content provided through the Service
  • Patents, copyrights, trademarks, and trade secrets related to the Service

7.2 Limited License to Users

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your personal, non-commercial purposes
  • Install and use the Chrome extension on your personal devices
  • Install the PWA on your personal devices

7.3 Restrictions on Use

You may not:

  • Copy, modify, or create derivative works of the Service
  • Remove, alter, or obscure any proprietary notices
  • Use our trademarks without prior written permission
  • Claim ownership of any part of the Service

7.4 Feedback

If you provide suggestions, feedback, or ideas about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback without any obligation to you.

8. User-Generated Content and Rules

8.1 Your Automation Rules

Automation rules you create within the Service remain your intellectual property. However, you grant us a license to:

  • Store and process your rules to provide the Service
  • Use aggregated, anonymized rule patterns to improve the Service

8.2 Life Domains and Categories

Custom life domains, labels, and categories you create are your content. You are responsible for ensuring such content does not violate any laws or third-party rights.

8.3 Content Responsibility

You are solely responsible for the content of your automation rules and any consequences of their execution on your calendar events.

9. Privacy and Data Protection

9.1 Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

9.2 Data Security

We implement industry-standard security measures including:

  • Row Level Security (RLS) on database tables
  • Encrypted storage of OAuth tokens
  • Content Security Policy (CSP) headers
  • Input sanitization to prevent XSS attacks
  • CORS protection on API endpoints
  • JWT-based authentication

9.3 Third-Party Services

The Service integrates with third-party services (Google Calendar, Sentry for error monitoring). Your use of such services is subject to their respective terms and privacy policies.

10. Service Availability and Modifications

10.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Emergency repairs
  • Server or infrastructure issues
  • Third-party service outages (including Google)
  • Force majeure events

10.2 Modifications

We reserve the right to:

  • Modify, update, or discontinue features at any time
  • Change the Service's pricing structure with reasonable notice
  • Deprecate or remove APIs or integration capabilities
  • Update the Chrome extension or PWA

10.3 Notification

We will make reasonable efforts to notify you of significant changes through:

  • Email notifications
  • In-app announcements
  • Updates to this document

11. Disclaimers

11.1 "As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Warranty of Results

WE DO NOT WARRANT THAT:

  • • The Service will meet your specific requirements
  • • The Service will be uninterrupted, timely, secure, or error-free
  • • The results obtained from using the Service will be accurate or reliable
  • • Any errors in the Service will be corrected
  • • The Service will be compatible with your devices or third-party services

11.3 Calendar Modifications

WE ARE NOT RESPONSIBLE FOR ANY UNINTENDED CONSEQUENCES RESULTING FROM AUTOMATION RULES YOU CREATE, INCLUDING BUT NOT LIMITED TO INCORRECT EVENT CATEGORIZATION, CALENDAR CONFLICTS, OR MISSED APPOINTMENTS.

11.4 Third-Party Services

WE DISCLAIM ALL LIABILITY FOR THE PERFORMANCE, AVAILABILITY, OR CONDUCT OF THIRD-PARTY SERVICES, INCLUDING GOOGLE CALENDAR AND GOOGLE'S AUTHENTICATION SERVICES.

11.5 Data Accuracy

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY ANALYTICS, INSIGHTS, OR REPORTS GENERATED BY THE SERVICE.

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALINTENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • • Indirect, incidental, special, consequential, or punitive damages
  • • Loss of profits, data, use, goodwill, or other intangible losses
  • • Damages resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; (iv) unauthorized access, use, or alteration of your transmissions or content
  • • Damages arising from automation rules modifying your calendar events
  • • Damages arising from service interruptions or data loss

12.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

12.3 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND CALINTENT. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

12.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Calintent, its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your automation rules and their effects on calendar events
  • Any content you submit or transmit through the Service
  • Your violation of applicable laws or regulations

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

  • Deleting your account through the Service settings, which permanently removes all your data and revokes all Google OAuth tokens
  • Contacting us to request account deletion

You may also disconnect individual calendars without deleting your account, which removes synced data for that calendar and revokes the associated Google OAuth tokens.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Violation of the Acceptable Use Policy
  • Suspected fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Technical or security issues
  • Discontinuation of the Service

14.3 Effects of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • All your data will be permanently deleted from our systems, including:
    • User profile and settings
    • Synchronized calendar events
    • Automation rules and execution logs
    • Analytics data and life domain configurations
  • All Google OAuth tokens will be actively revoked, terminating our access to your Google Calendar
  • Calendar webhook subscriptions will be terminated

14.4 Survival

Sections relating to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and General Provisions shall survive termination.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us and attempt to resolve any dispute informally for at least thirty (30) days.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of SP/Brazil, without regard to its conflict of law principles.

15.3 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in SP/Brazil for resolution of any disputes arising from these Terms or your use of the Service.

15.4 Waiver of Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CALINTENT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

16. Changes to Terms

16.1 Modifications

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of this document
  • Notify you via email or through the Service
  • Provide reasonable advance notice for significant changes

16.2 Acceptance of Changes

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

16.3 Review Recommendation

We encourage you to review these Terms periodically to stay informed about your rights and obligations.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Calintent regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

17.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

17.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

17.8 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
